Employer of Record in Armenia or Your Own Company: How to Choose

A company expanding into Armenia may compare two arrangements: hiring a worker through a local legal employer and creating its own Armenian limited liability company. They are not variations of the same registration form. The first concerns who legally employs and pays a person; the second creates a separate business with its own contracts and continuing obligations. Costs alone cannot settle the choice. Management, control over customers, payroll, tax, residence and intellectual property all need attention. This article provides a decision framework and questions to raise with a qualified provider. It does not suggest that Relocation2Armenia itself sells employer-of-record services.

A one-person scenario

Suppose a foreign business wants one person in Armenia for a defined period but does not need a local customer-facing company. It may investigate whether a qualified local employer can hire that worker under a properly documented arrangement. The business should still ask who legally directs work, which rules govern leave and termination, and how the worker's status is handled. If the provider cannot show a registered entity or clear contracts, a low quoted fee is not enough. This is an illustration of questions to ask, not legal approval of a specific model.

What the two arrangements mean

An employer of record is a company that formally employs a worker for another business under a service agreement. Opening your own Armenian limited liability company creates a separate legal entity that contracts and carries out its own operations. The arrangements solve different problems: hiring a worker is not equivalent to establishing a company.

In a typical arrangement, one entity formally employs a person while another business receives that person's work under a commercial agreement. The exact allocation of management, payroll, workplace duties and liability depends on the contracts and applicable Armenian law. Ask for the legal name of the employer, where it is registered, how salary is processed and who handles mandatory reporting. A sales page using the term “employer of record” is not proof of the underlying structure. Obtain a clear description of who will sign the employment agreement and who can lawfully end it.

Which questions decide the choice

For employment, identify the legal employer, who directs daily work, who pays salary and required deductions, and how termination and intellectual property are handled. For a company, identify the founder, director, actual customers, accounting duties and the tax position of the business and its owners. A foreign company's presence and the worker's location can also matter in more than one country.

What creating an LLC changes

An Armenian limited liability company is its own legal entity. It can contract with customers, employ people and maintain business records, subject to relevant law and accounting obligations. The founders and director have roles distinct from employees. Establishing a company may make sense when the business plans multiple hires, direct local customer contracts or operations needing its own entity. It also creates ongoing administration even if the initial registration is relatively straightforward. Compare the annual responsibility of operating the entity with the scope of a hiring arrangement, not only the first invoice.

Who directs and supervises work

Write down who chooses working hours, equipment, performance standards and a workplace. If one company is named as employer and another controls all daily activity, counsel should review the legal and contractual consequences. Determine who handles leave, sick pay, occupational safety, confidential information and employment disputes. A worker should know whom to contact for payroll errors and complaints. Customers should know whether intellectual property and personal data can be transferred to the business that actually uses the work. Avoid assuming a standard service agreement solves every issue.

Payroll and commercial costs

Request an itemized estimate: salary, employer obligations, mandatory deductions, service fees, onboarding, offboarding, currency conversion and any minimum term. For an LLC, include registration, accounting, payroll administration, office or address arrangements and periodic reporting. An arrangement that seems cheaper for one employee may look different at five employees or after a year. Ask which party holds funds before salary is paid and whether it can provide records needed for your own accounting. Compare like-for-like services and ask how fees change if hiring stops.

A growing-team scenario

Now suppose the business plans several employees, office operations and contracts with Armenian customers. Its own LLC may offer a clearer structure for management and customer relationships, though it carries accounting, employment and tax responsibilities. Estimate the first year and later years separately. Assign an internal owner for filings, recordkeeping and work permits where applicable. If founders live abroad, clarify who acts as director and how decisions are documented. Compare the entity's continuing administration with the combined cost and limits of an outside employment provider.

Residence and immigration are separate

Neither a provider's contract nor a newly registered company automatically grants Armenian residence rights. Official Armenian guidance lists work and business among possible grounds for temporary residence, subject to evidence and the applicable procedure. Verify the applicant's citizenship and the specific grounds before making an immigration plan.

The Armenian Ministry of Foreign Affairs lists work and entrepreneurial activity among possible grounds for temporary residence, but an employment contract or company registration does not automatically issue a card. The applicable route, evidence and procedure need to be checked for the individual worker: permanent residence guidance That page concerns permanent residence; for temporary categories see temporary and permanent residence guidance . A remote worker's foreign employer and actual location may also create questions beyond immigration. Do not rely on a provider's general claim that “hiring makes everyone a resident.”

Cross-border tax questions

A foreign company hiring someone in Armenia should consider where the worker performs services, who has authority to sign contracts, and whether those activities create tax or registration obligations. An Armenian LLC has its own tax and reporting position, while its founders may have personal obligations elsewhere. The Armenian government explains personal and business tax topics here: Armenian tax guidance The actual conclusion depends on facts and potentially on more than one jurisdiction. Avoid advertising a fixed tax saving until a qualified adviser has examined the structure.

When a direct company is preferable

A company may be more suitable if you need to own local operations, sign customer contracts from Armenia, hire several people under one organization or build long-term local management. It also gives founders control over the entity and responsibility for keeping it compliant. If the need is one employee for a defined project, ask whether a properly documented local employment provider is available and what it truly handles. If the person is an independent business owner instead, consider whether contracting a genuine separate supplier fits the facts. The label should reflect real work relationships.

When to speak to a specialist

Ask a prospective employment provider for its registered entity, agreement, payroll responsibilities and fees. If you prefer your own company, compare incorporation and continuing administration. This article explains options; it does not state that Relocation2Armenia itself provides employer-of-record services.

Questions before signing

Ask the provider for its registered entity and draft agreements; the identity of the employer; who pays wages and taxes; the treatment of benefits and leave; complaint and termination procedures; ownership of work product; confidentiality and data handling; and every fee. Ask counsel to review the immigration position of the worker. If opening an LLC, obtain a separate estimate for incorporation and ongoing accounting. Neither option should be chosen solely because a promotional page promises quick bank accounts or automatic residence.

Transition between arrangements

A business might initially use an outside employer and later move to its own company. This transition requires more than changing invoice details: the legal employer, employment contract, accumulated leave, employee data and ownership of created work may need to be addressed. Plan the change before giving a termination date or promising uninterrupted benefits. Discuss whether a new contract or lawful transfer process applies under the facts. Retain payroll and employment records, and explain the plan to workers in writing. A provider's exit fee and cooperation duties should be checked before signing the original agreement.

Red flags in a proposal

Be cautious if a provider will not identify the employing entity, promises automatic residence or personal bank accounts, gives only a single lump sum without payroll details, or refuses to explain who is responsible for labor disputes. Ask for written answers and have them reviewed against the actual documents. Likewise, a proposal to open a paper LLC solely to obtain an immigration result deserves scrutiny. The real activity and obligations should match the chosen form.
